Terms of Service

You must be at least 13 years old to use the Services. If you are under 18, you represent that you have a parent or guardian’s permission to use the Services where required by law. The Services are not intended for children under 13.

You are responsible for safeguarding your credentials and for activity under your account. You must provide accurate information and keep it updated. We may suspend or terminate accounts that violate these Terms or create risk for other users or for us.

The Services may allow you to post or upload content such as profile information, messages, photos, event links, and other materials (“User Content”). You retain ownership of your User Content. You grant permission to kndi. to host, store, reproduce, display, and distribute User Content on a worldwide, non-exclusive, royalty-free basis solely as needed to operate, improve, and promote the Services (including showing it to other users according to product functionality and your settings).

You agree not to:

• Violate any applicable law or regulation.
• Harass, threaten, defame, or harm other people; promote hate or discrimination.
• Share unlawful, infringing, or non-consensual intimate imagery.
• Spam, phish, distribute malware, or attempt unauthorized access to our systems or other users’ accounts.
• Scrape, reverse engineer, or attempt to extract our source code or models except to the extent permitted by law.
• Misrepresent your identity or affiliation, or use the Services for deceptive commercial schemes.
• Interfere with or disrupt the integrity or performance of the Services.

We may remove or restrict User Content or accounts that we reasonably believe violate these Terms or the law. We are not obligated to monitor all content but may do so to enforce these Terms and keep the community safe.

Under the name kndi., the Services help you organize social plans around real-world events. Event listings and related metadata may come from third-party sources or user submissions and may contain errors or change without notice. Venues, artists, dates, and links are provided for convenience only. You are responsible for verifying details with official organizers and complying with venue rules and applicable laws.

The Services are currently offered without requiring a paid subscription through kndi. If we introduce paid plans, in-app purchases, or subscriptions, we will provide applicable pricing, renewal, and cancellation terms before you are charged, including any requirements from platform providers such as Apple.

Except for User Content provided by users, kndi. and its licensors own all rights in the Services, including software, branding, and design. You may not copy, modify, distribute, sell, or lease any part of our Services except as expressly permitted by us or applicable law.

You may stop using the Services at any time. We may suspend or terminate access to the Services, or delete or disable accounts or content, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us, or for other operational reasons, with or without notice where permitted by law.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL kndi. OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT HAD ANY SUCH PAYMENTS.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

You will defend, indemnify, and hold harmless kndi. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Services, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your country of residence require otherwise. Subject to applicable law, exclusive jurisdiction and venue for disputes will be the state and federal courts located in Washington; you consent to personal jurisdiction there.

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If a change is material, we will provide additional notice where appropriate. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

These Terms constitute the entire agreement between you and kndi. regarding the Services and supersede any prior agreements on the same subject. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
